If you are using the Services on behalf of an organization (such as a school or company), you represent that you have authority to bind that organization to these Terms. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

To use Lakhsly, you must: • Be at least 13 years of age (or 16 in certain jurisdictions where required by law) • If you are between 13 and 18 years of age, have your parent or legal guardian's consent to use the Services • Provide accurate, current, and complete registration information • Have the authority to enter into these Terms, whether personally or on behalf of an organization • Not have been previously suspended or removed from our Services • Not be located in a country subject to government embargo or designated as a "terrorist-supporting" country For educational institutions: Schools using our Services for students under 13 must obtain appropriate parental consent and ensure compliance with applicable children's privacy laws (such as COPPA).

To access certain features of the Services, you must create an account. You agree to: • Provide accurate, truthful, and complete information during registration • Maintain and promptly update your account information • Keep your password confidential and secure • Not share your account credentials with any third party • Immediately notify us of any unauthorized use of your account • Accept responsibility for all activities that occur under your account We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe may be compromised.

Lakhsly provides an AI-powered educational platform designed to enhance learning productivity. Our services include: • Transforming educational content (uploaded audio recordings, PDF documents, YouTube video captions) into concise summaries. • Generating interactive study materials such as flashcards and quizzes from your uploaded content. • AI-powered chat assistance to answer questions related to your study materials. • Tools for organizing and tracking your study progress. We use advanced artificial intelligence technologies to process educational content. Users acknowledge that AI-generated content may occasionally contain inaccuracies and should verify important information.

"User Content" refers to any content you upload, submit, or transmit through the Services, including audio files, documents, text, and other materials. You retain ownership of your User Content. By uploading User Content, you grant Lakhsly a non-exclusive, worldwide, royalty-free license to use, process, store, display, and transmit your User Content solely for the purpose of providing and improving our Services. You represent and warrant that: • You own or have the necessary rights to your User Content • Your User Content does not infringe any third party's intellectual property rights, privacy rights, or other rights • Your User Content complies with all applicable laws and regulations • You have obtained any necessary consents for User Content containing personal information of others We do not claim ownership of your User Content, but we may use it to train and improve our AI models in a manner that does not identify you personally.

You agree not to: • Use the Services for any unlawful purpose or in violation of any applicable laws • Upload content that infringes intellectual property rights of others • Use the Services to facilitate academic dishonesty, cheating, or plagiarism • Upload harmful, threatening, abusive, harassing, defamatory, or obscene content • Attempt to reverse-engineer, decompile, or extract source code from our AI systems • Use automated means (bots, scrapers) to access the Services without authorization • Interfere with or disrupt the Services or servers • Circumvent any security features or access controls • Impersonate another person or entity • Share your account credentials with others • Use the Services to send spam or unsolicited communications • Upload malware, viruses, or other malicious code • Harvest or collect user information without consent • Use the Services in a manner that could damage, disable, or impair our systems

Certain features of the Services require a paid subscription. By subscribing: • You agree to pay all applicable fees at the rates in effect when charges are incurred • Subscriptions automatically renew unless cancelled before the renewal date • You authorize us to charge your payment method on a recurring basis • All fees are non-refundable except as expressly stated in these Terms or as required by law • We may change our prices upon 30 days' notice by email or through the Services Free tier users may be subject to usage limits, feature restrictions, or advertisements. You may not: • Copy, modify, or distribute our content without permission • Use our trademarks or logos without written consent • Frame or mirror any part of the Services • Create derivative works based on our Services AI-Generated Content: You may use AI-generated content created through your use of the Services for personal and educational purposes. However, you acknowledge that similar content may be generated for other users.

The Services integrate with third-party services. We do not endorse and are not responsible for third-party services. Lakhsly uses YouTube API Services. By using the Service to access or process YouTube content, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). Please also refer to Google's Privacy Policy (http://www.google.com/policies/privacy). Other integrations include: • Google (for authentication and Drive access) • Microsoft Azure AD (for SSO) • Payment Processors Your use of third-party services is subject to their respective terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT • WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS AI-generated content should not be relied upon as a sole source of information for academic, professional, or other important purposes. Always verify information independently. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAKHASLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR: • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES • ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES • ANY DAMAGES ARISING FROM AI-GENERATED CONTENT OR RELIANCE THEREON OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow limitations on liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Lakhsly and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: • Your use of the Services • Your User Content • Your violation of these Terms • Your violation of any third-party rights • Your violation of any applicable laws or regulations

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include: • Violation of these Terms • Engagement in fraudulent or illegal activities • Abuse of the platform or other users • Extended periods of inactivity • Request by law enforcement or government agencies You may terminate your account at any time through your account settings or by contacting us. Upon termination: • Your right to use the Services immediately ceases • We may delete your User Content after a reasonable retention period • Provisions that by their nature should survive termination will remain in effect

Any disputes arising from these Terms or your use of the Services shall be resolved as follows: Informal Resolution: Before filing any formal dispute, you agree to contact us at support@lakhsly.com to attempt to resolve the dispute informally. Governing Law: These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law principles. Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Cairo, Egypt for the resolution of any disputes. Class Action Waiver: You agree to resolve any disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

Additional terms apply to schools and educational institutions using our Services: • School administrators are responsible for managing student accounts and ensuring appropriate use • Schools must obtain necessary parental consents for students under applicable age thresholds • Student data may be shared with authorized school administrators • Schools agree to use the Services solely for educational purposes • Schools may be subject to separate agreements or data processing addendums

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lakhsly regarding the Services. Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision. Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction. Notices: We may provide notices to you via email, in-app notifications, or posting on our website. Force Majeure: We shall not be liable for any failure or delay due to circumstances beyond our reasonable control.
